1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 16 years old and able to enter into a binding agreement. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Description of the Service

CloudeIDE is a browser-based development environment with an integrated AI coding assistant, a multi-file editor, and a terminal. The AI assistant uses a third-party model provider and is intended to assist, not replace, your own judgment, testing, and code review.

3. Accounts and Registration

To use most features, you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and secure.
• Be responsible for all activity that occurs under your account.
• Notify us promptly at support@cloudeide.com of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Submit code or content that you do not have the right to submit.
• Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service or its infrastructure.
• Use the Service to develop a competing product or to resell the Service without authorization.
• Circumvent usage limits, security controls, or access restrictions.

5. Subscriptions and Plans

The Service offers a free tier with limited AI usage and paid subscription plans with higher limits and additional features. Plan features, quotas, and pricing may change over time. We will provide notice of material changes to paid plans.

6. Payments and Billing

Paid subscriptions are billed through our payment provider, PayPal. By purchasing a subscription, you authorize us and our payment provider to charge the applicable fees, including any recurring charges, using your selected payment method.

• Subscriptions renew automatically for the applicable billing period unless cancelled before renewal.
• Fees are stated exclusive of taxes unless otherwise noted; you are responsible for any applicable taxes.
• Except where required by law, payments are non-refundable. Cancelling stops future charges but does not refund the current period.
• If a payment fails, we may suspend or downgrade access to paid features until payment is resolved.

7. Intellectual Property

You retain all ownership rights in the code and content you create. You grant us a limited license to process and transmit content you explicitly submit to the AI assistant, solely to provide that feature to you. We and our licensors retain all rights in the Service itself, including its software, design, and trademarks. You may not use our branding without prior written permission.

8. Third-Party Services

The Service integrates third-party providers, including Anthropic (Claude) for AI assistance and PayPal for payments. Your use of those features may also be subject to the third parties' terms. We are not responsible for the acts, omissions, or content of third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. AI-generated code and explanations may be incomplete or inaccurate and should not be relied upon as a substitute for your own review, testing, and security auditing. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, CloudeIDE and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless CloudeIDE and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases, though certain provisions survive termination by their nature.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the competent courts in that location, unless otherwise required by applicable law.
